Introduction
Welcome to AINGENS, LLC ("AINGENS," "we," "our," "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and subscriptions (collectively, the "Services"). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Subscription Services
1.1 Subscription Plans
- AINGENS offers subscription-based access to our Services. Subscription plans may include, but are not limited to, monthly and yearly memberships.
- By subscribing to our Services, you agree to pay the subscription fees associated with the plan you select, as well as any applicable taxes.
1.2 Nonrefundable Subscriptions
- All subscriptions are nonrefundable. Once a subscription payment has been processed, no refunds will be issued, regardless of whether you choose to cancel your subscription before the end of the subscription period.
1.3 Cancellation and Access
- You may cancel your subscription at any time. If you cancel a monthly subscription, you will retain access to the Services until the end of the current billing month. If you cancel a yearly subscription, you will retain access until the end of the current billing year.
- Upon cancellation, your subscription will not automatically renew, and we will not charge your credit card for any further subscription fees after the current billing period ends.
1.4 Automatic Renewal
- Unless you cancel your subscription in accordance with Section 1.3, your subscription will automatically renew at the end of the current billing period (monthly or yearly) at the then-current subscription rate. You authorize us to charge your credit card or other payment method for the renewal.
2. Use of Services
2.1 Eligibility
- You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are of legal age to form a binding contract with AINGENS.
2.2 Account Responsibility
- You are responsible for maintaining the confidentiality of your account information, including your username and password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
2.3 Prohibited Conduct
- You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws.
- Share, transfer, or otherwise provide access to your subscription to any third party.
- Engage in any conduct that could harm or impair the Services, including uploading viruses or other malicious code.
- Attempt to gain unauthorized access to our systems or networks.
3. Intellectual Property
3.1 Ownership
- All AINGENS’ content, materials, and intellectual property available on or through the Services, including but not limited to text, graphics, logos, and software, are the property of AINGENS or its licensors and are protected by applicable intellectual property laws.
- Any content, materials, or other information you upload to your folders or develop using our service belongs to you. We do not access or share your content or materials.
3.2 Limited License
- Subject to your compliance with these Terms, AINGENS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
3.3 Restrictions
- You may not copy, reproduce, modify, distribute, or create derivative works of any AINGENS content or materials available through the Services without our prior written consent.
4. Disclaimers and Limitations of Liability
4.1 Disclaimers
- The Services are provided "as is" and "as available," without any warranties of any kind, express or implied. AINGENS disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Copyright: You are responsible for abiding by copyright laws that govern the use of references and other works that you use for developing content and other materials.
4.2 Limitation of Liability
- To the fullest extent permitted by law, AINGENS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Services;
- Any unauthorized access to or use of our servers and/or any personal information stored therein;
- Any interruption or cessation of transmission to or from the Services;
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party;
- Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Services.
5. Indemnification
You agree to indemnify, defend, and hold harmless AINGENS, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.
6. Termination
6.1 Termination by AINGENS
- We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we believe that you have violated these Terms.
6.2 Effect of Termination
- Upon termination of your access to the Services, your right to use the Services will immediately cease. Sections 3, 4, 5, and 7 of these Terms will survive any termination.
7. Governing Law and Dispute Resolution
7.1 Governing Law
- These Terms and any disputes arising out of or relating to them shall be governed by the laws of the state of Maryland, without regard to its conflict of law principles.
7.2 Dispute Resolution
- Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Columbia, Maryland, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs and fees in connection with the arbitration.
8. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. If the changes are material, we will provide notice through our Site or by other means as required by law. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the updated Terms.
