1. Introduction

Welcome to the AINGENS MACg Affiliate Program. This document sets forth the legally binding terms under which you may participate as an Affiliate and earn commissions by referring customers who subscribe to MACg. Your participation in the Program constitutes your acceptance of all the terms outlined in this Agreement.

2. Formation of the Agreement

Upon submitting and having your application accepted, you and AINGENS form an electronic contract. By completing the application process, you are electronically signing and agreeing to all of the terms in the Agreement. You also confirm that you are at least 18 years old and have the legal authority to bind yourself—or your organization—to these terms.

3. Account Terms and Conditions

You must provide accurate and complete personal or company information, including your full legal name, valid email address, and other requested information. You are solely responsible for maintaining the confidentiality of your account credentials and all activities under your account. Each legal entity is permitted one Affiliate account unless expressly authorized otherwise.



You are prohibited from using the affiliate program to secure discounts on MACg subscriptions for personal use or any affiliate or company with shared ownership or affiliation. All transactions must be conducted at arm's length. Non-compliance with this rule will result in the immediate repayment of any commissions from affected sales.

4. Affiliate Responsibilities

4.1 General Responsibilities

Affiliates are responsible for the development, operation, and maintenance of their website and any other promotional materials or mechanisms (e.g., podcasts, newsletters, etc.) used to engage with potential subscribers. All content, advertisements, and marketing materials used in connection with the Program must be accurate, appropriate, and fully compliant with these Terms.

4.2 Detailed Responsibilities

  • Maintain the reliable operation of your website and all related communication technologies and strategies in a responsible manner.



  • Ensure that the display of links to MACg does not breach any agreements with third parties (including any restrictions imposed by your website host).

  • All materials posted on your website, including any content associated with MACg links, must be accurate, truthful, and not misleading.



  • Materials must not infringe upon third-party rights, including copyrights, trademarks, or privacy rights;



  • Prevent the publication of libelous, illegal, or otherwise inappropriate content; and



  • Disclose, via a privacy policy or equivalent notice, how visitor data is collected, used, stored, and shared—including details about third-party cookies or data collection mechanisms.

5. Paid Advertising Policy

Your unique Affiliate link may be used in organic marketing; however, its use in paid media channels—including search engine ads, paid social media advertisements, or similar formats—requires prior written approval from AINGENS. Bidding on MACg-related keywords without permission is strictly prohibited.

6. Affiliate Compliance and Policy Enforcement

You must comply with the terms and conditions of any third-party platforms used for affiliate marketing activities. Any abuse, gaming of the system, or violation of these Terms—including deceptive practices, spamming, or fraudulent transactions—may result in immediate suspension or termination of your Affiliate account, forfeiting any existing or future commissions and potentially subjecting you to claims for damages.

7. Compliance with Laws & Industry-Specific Guidelines

Your participation in the Program requires you to abide by all applicable local, state, federal, and international laws and regulations, including those governing email marketing (such as the CAN‑SPAM Act and the e‑Privacy Directive) and data protection, as well as any relevant industry-specific guidelines or codes of conduct.

8. Commissions, Payment, and Taxes

Affiliates earn a 30% commission on all validated payments made by customers who subscribe to MACg via your unique Affiliate link. Our tracking system uses cookies with a 60-day lifespan, allowing you to earn commission on referrals even if the customer doesn't subscribe immediately.

This commission will continue as long as the referred customer maintains an active subscription.

Commission payments are credited monthly, following a 30-day validation period (to account for cancellations or refunds), and are made once your commission balance meets or exceeds the minimum payout threshold of $100.

If your referral cancels or receives a refund, your previously credited commissions may be adjusted in future payouts. Self-referrals and referrals from prior customers may be subject to additional review and, if found inappropriate, will not qualify for commission payments.

All commission payments are made on a net basis, and you are solely responsible for any federal, state, or local taxes, including income and withholding taxes, that may be required on your commission earnings. AINGENS will not withhold or gross-up commissions, and you are responsible for meeting all applicable tax reporting and payment obligations.

Payments are made via PayPal.

9. Inactivity and Account Termination

If your Affiliate account remains inactive for six consecutive months, defined as no logins or transaction activity, your account may be removed from our system. In this event, any accrued commissions below the minimum payout threshold will be forfeited, and your participation in the Program will automatically terminate.

10. Termination

Your Affiliate status may be immediately suspended or terminated for reasons including, but not limited to:



  • Inappropriate advertisements such as false claims, misleading hyperlinks, or unauthorized brand bidding;

  • Spamming activities, including mass emailing or indiscriminate newsgroup postings;

  • Advertising on sites promoting illegal activities;



  • Failure to abide by applicable laws or infringing on MACg’s intellectual property rights;



  • Manipulative practices intended to inflate commissions; and



  • Self-referrals, fraudulent transactions, or other conduct detrimental to the Program.



     

    Termination will result in deactivation or deletion of your Affiliate account and the forfeiture of any pending commissions.

11. Right of Audit

AINGENS reserves the right to audit, examine, and copy your records and tracking reports at reasonable times to verify referral data accuracy. Should an audit determine that referrals have been misrepresented, you will reimburse any excess commission amounts and associated expenses, such as reasonable accounting or legal fees incurred by AINGENS.

12. Identifying as an AINGENS MACg Affiliate

You may advertise your participation in the Program by displaying your Affiliate links, banners, or other appropriate promotional materials. However, you must not misrepresent your relationship with AINGENS or imply that you are an employee, partner, or representative of AINGENS beyond your role as an independent Affiliate.

13. Uses of Promotional Links and Materials

Upon approval into the Program, you will be assigned a unique Affiliate code and provided with promotional materials. You are granted a non-exclusive, limited, non-transferable, and revocable license to use these materials solely for promoting MACg. You may also create promotional content if it complies with these Terms and any MACg branding guidelines.

14. Customer Definition

Customers who subscribe to MACg via your Affiliate link are considered AINGENS MACg customers. Accordingly, all rules, policies, and operating procedures regarding customer orders, service, and product sales—as well as any changes to pricing, package availability, or service details—apply to them.

15. Non-Disparagement

You agree not to make any false, misleading, or disparaging statements, written or oral, about AINGENS, its products, services, or personnel. Any breach of this provision may result in immediate termination of your Affiliate status and withholding of unpaid commissions.

16. Relationship of the Parties

Your relationship with AINGENS is solely that of an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship. You have no authority to make offers or representations on behalf of AINGENS, nor shall you imply any such authority.

17. Liability

AINGENS uses affiliate tracking technology to record referrals. AINGENS is not liable for any indirect, special, or consequential damages—including loss of revenue, profits, or data—arising from tracking errors, technical failures, or other issues beyond our reasonable control. In all cases, our aggregate liability shall not exceed the total commissions paid or payable to you in the six months preceding the event that gave rise to the claim.

18. Term of the Agreement

This Agreement becomes effective when you are accepted into the Program and will remain in effect until your Affiliate account is terminated, whether by you or AINGENS. AINGENS reserves the right to change these Terms at any time, and your continued participation in the Program constitutes acceptance of any changes.

19. Electronic Execution

This Agreement is executed electronically. By completing the Affiliate application process, you acknowledge and agree to be bound by these terms through your electronic signature, which is considered legally binding.

20. Independent Investigation

You acknowledge that you have read and fully understand the terms of this Agreement, have independently evaluated the benefits and risks of participating in the Program, and are not relying on any representations or guarantees other than those expressly set forth herein.

21. Dispute Resolution

Any dispute or alleged breach of this Agreement shall first be submitted by email to the AINGENS' leadership team via support@aingens.com for discussion and resolution. If a resolution is not reached within 10 business days, either party may submit the dispute to binding, confidential arbitration under the rules of the American Arbitration Association. However, if you violate AINGENS' intellectual property rights, injunctive or other relief may be sought in a court of competent jurisdiction. In such cases, both parties consent to non-exclusive jurisdiction and venue in Maryland, USA.

22. Miscellaneous

This Agreement shall be governed by and construed under the laws of the United States. You may not assign this Agreement without the written consent of AINGENS. This document constitutes the entire agreement between you and AINGENS, superseding all prior agreements or communications. The failure of AINGENS to enforce any provision shall not be deemed a waiver of that right. AINGENS reserves the right to update these Terms periodically.

23. Amendments

AINGENS may modify this Agreement in a way that negatively impacts your benefits. AINGENS will provide you with a 30‑day notice period via email (“Amendment Notice Period”).
If you disagree with the changes, you can terminate the Agreement during this period by notifying us in writing. If terminated, you will only receive any unpaid commissions that meet the minimum payout threshold specified in Section 9, provided you are not in breach of this Agreement. 
If you do not terminate the Agreement before the end of the notice period, the amended terms will be deemed accepted and will become part of the Agreement.

By enrolling in the AINGENS MACg Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
